Mergers & Acquisitions; The complexities of a buyers’ market
As the economy recovers, companies will continue to rely on mergers and acquisitions (M&A) to bolster bottom-line performance and fuel corporate development. At the same time, deal structuring is becoming increasingly complex. M&A deal teams have to consider a variety of sometimes competing objectives in deal pricing, accounting, tax, management incentives and other elements. Getting the deal done right is imperative, and company management, boards of directors and other key stakeholders are increasingly being held accountable for results.

In the latest episode of Deloitte Insights, Mike Dziczkowski and Chris Ruggeri discuss corporate development and M&A trends in today’s buyers’ market.

  • Why – and how – are deals becoming more complex?
  • How does this affect deals (timing, expenses, terms)?
  • How can companies address and manage increased deal complexity?
  • Is there a "new normal" for M&A?

Three Economic Indicators, Can you count on the recovery?

While a healthy economic recovery appears to be under way, there is considerable debate over whether it can be sustained. A look at the following areas can help you draw a conclusion:

  • Inflation: So far, inflation remains low. Yet the real issue is inflation expectations. While it appears expectations remain under control, market sentiment could easily change quickly depending on what happens with the economy, with banks and with Fed policy.
  • Budget deficits and interest rates: For now, long-term rates remain historically low, suggesting the U.S. Treasury is not having any difficulty in financing its massive debt. But market sentiment could change quickly, especially if it becomes apparent that the deficit is not going down.
  • Banks: On one hand, risk spreads are quite low. This implies that financial market participants may be willing to acquire asset backed securities that are at the heart of the system's ability to generate credit. On the other hand, bank lending remains stagnant; there is widespread fear of further foreclosures; and the commercial property market is still troubled.

Despite contrasting indicators, what you can count on is a shifted business landscape that may demand new strategies for tackling old and familiar challenges. Achieving aggressive growth goals without sacrificing efficiency and cost discipline. Learning to manage risk in an environment where anything can change at any time. Staying attuned to the compliance demands of a more complex regulatory environment.

Corporate Development 2010, Refining the M&A Playbook
As companies of every size and industry plan growth strategies, many expect M&A to help drive revenue growth and bottom-line performance as the economy begins to expand. Executives responding to a recent survey conducted by Deloitte and The Deal agree–52% expect M&A to add more than 5% to revenue growth on a compound annual basis over the next two to five years. This is significant when compared to average annual revenue growth of the S&P 500 of approximately 4% over the past 10 years.*

Corporate Development 2010: Refining the M&A Playbook looks at how Corporate Development groups are structured and managed, their roles and responsibilities, and what it is that makes them effective. The survey raises questions at this important juncture in the M&A cycle:

  • Do Corporate Development teams have adequate resources to tackle mounting M&A deal flow, and do they have the skills necessary to navigate a more complicated deal landscape?
  • Are they looking beyond traditional deal models and digging deeper to gain more insight into value and risk?
  • Is the Corporate Development function linked closely to post-closing integration to help realize the expected benefits of an acquisition?
  • How are companies assessing the performance of their Corporate Development teams to ensure they are getting a fair return on this investment and what can be done to enhance effectiveness?

Beth Wozniak
President of Sensing and Control
Honeywell Automation and Control Solutions

In the 1980’s, computers were mostly standalone devices constrained by the limitations of their isolated processors. In the 1990’s, the internet evolved to interconnect millions of computers across the globe creating an enormously powerful network for communication and collaboration, enabling human interaction on a scale never before achieved. But the cyber world still remained isolated from the physical world. We are now on the verge of giving "senses" to the cyber world. Sensor networks will become a pervasive resource, enhancing safety, security, productivity, and energy efficiency. Across a range of applications, sensors will give eyes and ears to our networked computer brains, revealing previously unobservable phenomena and enabling solutions to previously intractable problems. This keynote describes technologies and applications of sensor networks today, and how they’ll lead us to a world of pervasive sensing tomorrow.
